Capgemini has agreed to sell its U.S. federal government subsidiary, Capgemini Government Solutions, to ITC Federal.
The transaction is expected to close in the coming weeks, subject to customary conditions, the company said. The subsidiary represented 0.4% of the group’s global 2025 revenue and less than 2% of its U.S. revenue.
Capgemini first announced the divestment process in February.
Following the acquisition, ITC Federal said it is forming ITC Digital Solutions.
“The acquisition deepens ITC’s footprint across national security missions while adding significant digital transformation capabilities, including Salesforce and ServiceNow platform expertise, cloud modernization, and enterprise data analytics and engineering capabilities to its portfolio,” ITC Federal said.
Considering Capgemini Government Solutions’ federal customers are agencies ITC Federal already serves, the combined organization will expand ITC Federal’s DHS and Department of Justice footprint with new digital and data capabilities. The deal will also expand ITC Federal’s reach to new customers across the Department of War and civilian federal agencies.
“This acquisition is about mission first,” said Greg Fitzgerald, CEO of ITC Federal.
“Bringing Capgemini Government Solutions into ITC strengthens our ability to deliver to our national security customers while giving us new depth in digital services, data analytics and enterprise platforms our federal partners rely on every day. ITC Digital Solutions lets us bring the full weight of both organizations to the missions that matter most.”
ITC Digital Solutions will combine Capgemini Government Solutions’ platform and data modernization capabilities with ITC’s national security delivery record. The acquisition also expands ITC Federal’s digital and data modernization capabilities, adding expertise in Salesforce, ServiceNow, cloud and Databricks.
